Local and international networks

We work with a number of M&A firms in Singapore, Japan, China and further abroad. This can be very useful for finding overseas buyers if the local market is too shallow.

Often an overseas corporate buyer can help leverage up your business to a level that just can’t be done locally.

We have a pool of investors and collaborative firms we can reach out to, to help find buyers or sellers for your business.

Of course, confidentiality is absolutely paramount and we know how delicately we may need to approach our networks.

Negotiation and deal structure

When a logical buyer or seller has been identified and they’ve engaged, they’ll usually already have an idea of the transaction price range. But every deal is different and there are a number of considerations around trade-offs.

We have a very strong understanding of contractual tradeoffs and can support during the whole negotiation process, from concept, to term sheet, to sale and purchase agreement, to settlement.

Due diligence and data room management

We can project manage the whole due diligence process for you, and can prepare business and financial due diligence reports, including cross-border tax considerations.

We don’t do the legal due diligence but have a network of very competent law firms who can support.

Financing

Need to syndicate funding to enable the roll-up? Our network of high net-worth individuals, local banks, international banks and private equity institutions give us a number of options to enable a deal that might not otherwise see the light of day.

Closing and post-merger integration

A large number of M&A deals destroy value. Sometimes the best outcome can be to let the two businesses run independently under their existing management, where the value of the merger is beyond simple operational efficiencies. This can be especially true for cross border deals.

But often you’ll need to start plugging the two businesses into each other to unlock synergies and the value that you’re ultimately looking to create, and this can be a delicate process.
